BOARD & ADVISORY

Board-Level Governance & Institutional Advisory

Dr Minah Tong-Mongalo provides governance advisory at board and institutional level, with a focus on strengthening accountability, enhancing board effectiveness, and aligning organisational practice with legal and regulatory frameworks. Her work is grounded in a deep understanding of corporate law, public sector governance, and the complexities of regulated and state-influenced environments.

She is available for non-executive director and governance committee roles where independent judgment, legal expertise, and a principled approach to accountability are required. Her experience includes quasi-judicial decision-making at the Companies Tribunal, as well as advisory work across public and private sector institutions. This combination supports a clear and disciplined approach to fiduciary responsibility and board governance.

Her advisory work focuses on governance frameworks that are both legally sound and practically effective, including board structure and role clarity, accountability mechanisms, and alignment with applicable regulatory regimes. Particular focus is given to the interface between shareholders and boards, especially in the context of state-owned companies, where governance risks often arise from misaligned authority and oversight.

She also contributes to governance reform and legal development initiatives, including corporate law reform processes and institutional design relating to accountability frameworks. Her approach is grounded in independence of judgment, clarity of roles and authority, and a commitment to sustainable governance outcomes.

Effective governance requires more than compliance. It requires clarity of authority, disciplined accountability, and the ability to act in the long-term interests of the institution.
